Seller Agreement

Version 2026-10-25 · Last updated October 24, 2026

This Seller Agreement (the "Agreement") is between [legal entity name — to be completed before launch] ("e-airbags.com", "we") and the business that applies for a seller account (the "Seller", "you"). It supplements the Terms of Use, which also apply to you. You accept this Agreement when you submit your application, and again whenever a new version is published and you continue to list.

1. Eligibility — commercial sellers only

Seller accounts are available only to businesses engaged in the automotive trade: salvage / auto recycling yard, licensed dismantler, collision / body shop, repair shop, dealership, auto parts reseller, and other automotive businesses we approve. You represent that you operate a bona fide business, hold every license your state requires for dismantling, salvage or dealing in used vehicle parts, and that the person accepting this Agreement is authorized to bind the business. Individuals, hobbyists and personal accounts are not eligible, and an account found to be personal is closed.

2. Application and verification

You provide accurate business information and upload the verification documents we request (business license or registration, dealer, dismantler or salvage license, resale certificate, insurance, a utility bill or lease, and government photo ID of the owner or manager, as applicable). We review applications by hand and may approve, request more information, or decline at our discretion without stating a reason. You keep your information current and tell us within 14 days of any change in ownership, licensing or address. We may re-verify at any time.

3. Listing rules

You may list only (a) used original-equipment parts that you lawfully own and that were removed from a specific donor vehicle in your possession or documented chain of custody, and (b) mail-in SRS services you perform yourself. Each part listing must be one unit with quantity one and must include the donor vehicle's 17-character VIN, an uploaded proof-of-origin document for that vehicle, the OEM part number, the position, at least 4 photographs of the actual part taken by you, and a truthful title and description. The Listing rules and the Prohibited Items Policy are part of this Agreement. We may edit, end or remove any listing.

4. Attestations

For every part listing you attest, and we and the buyer rely on your attestations, that the part: (i) is a used OEM part removed from the donor vehicle identified by the VIN on the listing; (ii) is undeployed and has never been deployed, triggered or activated; (iii) is not subject to an open manufacturer or NHTSA recall, which you checked before listing; and (iv) is not aftermarket, replica, counterfeit, rebuilt, re-covered or modified. A false attestation is a material breach, grounds for immediate termination, and may be reported to the authorities. You keep records supporting each attestation for at least four years.

5. Pricing, offers and sales

You set the price and the flat ground shipping charge for each listing. A buyer's completed payment forms a binding sale between you and the buyer for that part at that price. You may enable Best Offers and set a minimum; an offer you accept is binding on you for the time the buyer is given to complete checkout. You may not cancel a paid order except where the part has become unavailable through no fault of yours, and repeated cancellations are grounds for suspension. You may not condition a sale on anything not stated in the listing.

6. Shipping and hazmat compliance

You ship every order by ground carrier (UPS Ground, FedEx Ground, or for non-hazmat categories USPS Ground Advantage), with a valid tracking number entered on the order, within the handling time stated on the listing and in any case by the ship-by date (handling time plus 2 grace days). Shipments go only to the address on the order, in the continental United States.

Hazmat compliance is solely your responsibility. Undeployed airbag modules, inflators and pyrotechnic pretensioners are hazardous materials (UN3268, Safety devices, electrically initiated, Class 9) under 49 CFR and carrier rules. You are the shipper of record and are responsible for proper classification, packaging, marking, labeling, documentation, carrier acceptance and any training your staff require. You will not ship these items by air, by USPS, or in any way that violates the regulations, and you will not misdeclare a shipment. Fines, penalties and losses arising from your shipments are yours.

Orders not shipped by the ship-by date may be cancelled and refunded by the buyer or by us. Risk of loss during transit remains with you until delivery is confirmed; you are responsible for packaging that protects the part and for carrier claims.

7. Sales invoices

For every part order you issue a sales invoice to the buyer in your business name that identifies the part, the price and the donor vehicle's VIN, and you upload it to the order before the payout is released. You are the seller of record for the sale and the invoice is yours, not ours.

8. Payment collection and fees

You appoint e-airbags.com as your limited agent to collect payment from buyers for your orders through our payment processors. A buyer's payment to us discharges the buyer's payment obligation to you for that order. For each paid order you pay us a final value fee of 15% of the item price plus the shipping charge paid by the buyer, with a minimum of $1.00 per order, deducted from the payment before payout. There are no listing or subscription fees. Fees may change on 30 days' notice posted on the fees page; the fee in force when an order is paid applies to that order.

9. Payouts and holds

Payouts are made through Stripe Connect Express to the account you set up; you agree to Stripe's Connected Account Agreement and provide the information Stripe requires. A payout becomes eligible 48 hours after delivery of the order is confirmed (carrier scan, buyer confirmation, or automatically 21 days after shipment) and is transferred when no case is open on the order, your sales invoice is on file and your Stripe account can receive payouts. We may hold a payout, or all of your payouts, for as long as reasonably necessary while a case, chargeback, refund request, suspected fraud or policy violation is investigated, or where required by law or our payment processors. No interest is paid on held funds.

10. Cases, refunds, chargebacks and recovery

A buyer may open a case under Buyer protection. You respond to cases promptly and in good faith. Where you and the buyer do not agree, we decide the case on the evidence and may refund the buyer in full or in part from the held payment, require the part to be returned to you, or release the payment to you; you agree that our decision about the funds we hold is final between you and the buyer. If a refund, chargeback or processor reversal is issued after you have been paid, you owe us the refunded amount attributable to your item and shipping, and you authorize us to recover it from your future payouts or, if none follow within 60 days, to invoice you, payable within 14 days. We return our fee share proportionally on refunded amounts.

11. Conduct and messaging

You communicate with buyers only through the Marketplace's messaging, which we store and may read. You will not ask or allow a buyer to pay you outside the Marketplace, share contact details for that purpose, or direct buyers to other sales channels for parts listed here; doing so is grounds for immediate termination and forfeiture of pending payouts to the extent permitted by law. You treat buyers courteously and answer questions, offers and case messages within two business days.

12. Content

You own the photos and text you post and grant us a worldwide, royalty-free, perpetual license to display, reproduce, adapt and distribute them to operate and promote the Marketplace. You represent that you have the rights to everything you post, that photos show the actual part being sold, and that your content does not infringe anyone's rights. You consent to our use of your store name and business type on the Marketplace.

13. Taxes

We collect and remit sales tax on Marketplace orders as a marketplace facilitator where the law requires; that tax is never part of your payout. You are responsible for all other taxes on your sales and income, for your business licenses and resale certificates, and for providing accurate tax information to Stripe, which issues any required tax forms (such as Form 1099-K) to you.

14. Responsibility, indemnity and liability

You alone are responsible for the parts you sell, their condition, legality, description, packaging and shipment, and for your compliance with every applicable law, including hazardous-materials, salvage, dismantler, consumer-protection and recall laws. You will defend, indemnify and hold harmless e-airbags.com and its owners, officers, employees and agents from any claim, loss or expense (including reasonable attorneys' fees) arising from your listings, parts, shipments, content, breach of this Agreement or violation of law, including any claim of personal injury or property damage related to a part you sold. The disclaimers and limitation of liability in the Terms of Use apply to this Agreement.

15. Suspension and termination

We may suspend or terminate your seller account at any time for breach of this Agreement, the Terms of Use or our policies, for unacceptable case or cancellation rates, for inactivity, or where required by law or our processors, and may end your active listings. You may close your account at any time once your open orders are complete. On suspension or termination we may hold payouts for up to 180 days to cover cases, refunds and chargebacks, after which the balance is paid to you less amounts owed. Sections 4, 7, 8, 10, 12, 13, 14 and 16 survive termination.

16. General

This Agreement is governed by the laws of the State of [State] and any dispute between you and e-airbags.com will be brought in the courts located in [County, State]. We may change this Agreement by posting a new version with a new version number; continuing to list after the effective date is acceptance. You may not assign this Agreement without our consent. If any provision is unenforceable the rest remains in effect. Notices to you go to your business email; notices to us go to support@e-airbags.com.
